Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OperCove website and software (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a contract.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You agree to provide accurate information and keep it current, and to notify us promptly of any unauthorized use.
- Each paid workspace is for your organization's internal business use and is subject to the subscription terms presented at purchase.
2. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Reverse engineer, decompile, or disassemble the Service, or tamper with its security features.
- Upload infringing, harmful, or unlawful content, or data you are not authorized to process.
- Resell, sublicense, or exploit the Service in a manner that competes with OperCove without our written permission.
3. Customer data and ownership
- You own the data you input into the Service ("Customer Data"). We do not claim ownership of it.
- You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining any consents required to process it.
- You grant OperCove a limited license to process Customer Data solely to provide, secure, and improve the Service.
- We may use de-identified or aggregated data to operate and improve the Service, without identifying you or your customers.
4. Service availability and modifications
We strive to keep the Service reliable but provide it "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We may modify, suspend, or discontinue features, and we will give notice where practicable.
5. Subscriptions, fees, and cancellation
- Paid plans are billed in advance on the cycle stated at purchase and are non-refundable except as required by law or as expressly stated.
- Fees may change at renewal with notice; continued use after a change constitutes acceptance.
- You may cancel at any time; cancellation takes effect at the end of the current billing period, after which your plan downgrades or your account closes.
- Unpaid amounts may result in suspension of the Service.
6. Compliance responsibility
Compliance with professional and legal standards in your industry — including pesticide application, licensing, record-keeping, and data-protection laws — remains your responsibility. OperCove is a tool that helps you organize records; it is not a substitute for legal, regulatory, or professional advice.
7. Limitation of liability
To the maximum extent permitted by law, OperCove shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business interruption, arising from or related to your use of the Service, even if advised of the possibility. Our aggregate liability shall not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim.
8. Indemnification
You agree to indemnify and hold OperCove harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach of these Terms or for non-payment. Upon termination, your right to use the Service ends and we will handle your data in accordance with our Privacy Policy and retention schedule.
10. Changes to these Terms
We may update these Terms from time to time. We will provide notice of material changes within the Service or by email, and continued use after they take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which OperCove is established, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts in that location.
